License Agreement

The following is the text of the end-user license agreement that is accepted by the software user when this Rangecam software product is installed.

End-User License Agreement for Industrial Metrics Software

This End-User License Agreement is a legal agreement between you (either an individual or single entity) and Industrial Metrics / HOLLAND LP for the product:

which includes computer software, associated media, printed materials, and electronic documentation.

NOTICE: Read this agreement PRIOR to installing, copying or otherwise using the SOFTWARE PRODUCT.

By installing, copying, or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms of this End-User License Agreement.

SOFTWARE PRODUCT LICENSE

The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed, not sold and ownership and title remain the property of HOLLAND LP.

1. GRANT OF LICENSE. This End-User License Agreement grants you the following rights:

• Installation and Use. You may install and use one copy of the SOFTWARE PRODUCT on up to four computers, for use by one operator or full-time equivalent.
• Installation and Use. You may install and use one copy of the SOFTWARE PRODUCT on a single computer. The primary user of the computer on which the SOFTWARE PRODUCT is installed may make a second copy for his or her exclusive use on a portable computer.
• Site License. If you have acquired this End-User License Agreement as part of a site license agreement with HOLLAND LP., the terms and conditions specified in the site license agreement may allow you to install the SOFTWARE PRODUCT on additional computers.
• Term. The term of the License shall be as stated on the invoice or separate agreement between you and HOLLAND LP or its resellers, unless the license is terminated as provided herein.

2. OTHER RIGHTS AND LIMITATIONS.

• Limitations on Database. The SOFTWARE PRODUCT may be used with databases managed by the Microsoft Access product. The SOFTWARE PRODUCT may not be used with other databases, in particular, with Rangecam "Enterprise" databases managed by Oracle or Microsoft SQL Server database management systems, unless that right is explicitly granted in a separate agreement between you and HOLLAND LP or its resellers.
• Limitations on Reverse Engineering, Decompilation, and Disassembly. You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
• Separation of Components. The SOFTWARE PRODUCT is licensed as a single product. Its component parts may not be separated for use on more than one computer.
• Rental. You may not rent, lease, or lend the SOFTWARE PRODUCT.
• Software Transfer. You may permanently transfer all of your rights under this End-User License Agreement, provided you retain no copies, you transfer all of the SOFTWARE PRODUCT, and the recipient agrees to the terms of this End-User License Agreement.
• Termination. Without prejudice to any other rights, HOLLAND LP may terminate this End-User License Agreement if you fail to comply with the terms and conditions stated herein. In such event, you must destroy all copies of the SOFTWARE PRODUCT and all of its component parts.

3. COPYRIGHT. All title and copyrights in and to the SOFTWARE PRODUCT are owned by HOLLAND LP. The SOFTWARE PRODUCT is protected by copyright laws and international treaty provisions.

4. GOVERNING LAW. This End-User License Agreement is governed by the laws of the Province of British Columbia, Canada.

5. WARRANTY: HOLLAND LP warrants that the Software Product will perform substantially in accord with the published User Documents furnished with and as part of the SOFTWARE PRODUCT. This warranty shall apply for 90 days after delivery of the Software Product to the User and shall be limited to the sole obligation of HOLLAND LP to remedy any defects in accordance with its normal business practice, and if unable to do so to refund to the User the payments made to HOLLAND LP for the License.

The warranty herein provided shall be void if the User has made any modifications to the licensed software without the express written consent of HOLLAND LP.

All other warranties are hereby disclaimed including warranties of fitness for the intended purpose or of quality unless prohibited by statute in the Province of British Columbia. HOLLAND LP expressly disclaims all liability for any indirect, consequential, incidental damages or loss of profits or opportunity attributable to the use or performance of the SOFTWARE PRODUCT.

The User hereby agrees to indemnify and hold harmless HOLLAND LP with respect to any and all third-party claims for damages or losses arising out of the use or operation of the SOFTWARE PRODUCT or in any way connected with the Software Product.

6. INTEGRATION: The User agrees that this Agreement sets forth the entire agreement of the parties and can be modified only by the express written consent of the parties.
